Welcome to Mivoo. These Terms of Service ("Terms") govern your access to and use of the Mivoo supported living management platform ("Service" or "Platform") operated by Mivoo ("we," "us," or "our").

Please read these Terms carefully before using our Service. By accessing or using Mivoo, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using Mivoo, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

If you are using Mivoo on behalf of an organization, you represent and warrant that:

  • You have the authority to bind your organization to these Terms
  • Your organization agrees to be bound by these Terms
  • You will ensure all users within your organization comply with these Terms

2. Service Description

Mivoo is a cloud-based platform designed to help supported living organizations manage their operations, including but not limited to:

  • Young person records and care management
  • Daily logs, incident reports, and documentation
  • Staff scheduling and rota management
  • Task management and handover notes
  • Template-based form submissions
  • File storage and document management

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, though we will make reasonable efforts to notify you of significant changes.

3. User Accounts and Responsibilities

3.1 Account Creation

  • You must provide accurate, current, and complete information when creating an account
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must notify us immediately of any unauthorized access to your account
  • You are responsible for all activities that occur under your account

3.2 Account Security

  • You must use a strong, unique password
  • You must not share your account credentials with others
  • You must log out of your account when using shared devices
  • You are responsible for maintaining the security of devices used to access the Service

3.3 Organization Responsibilities

  • Organizations are responsible for managing user access and permissions
  • Organizations must ensure all users comply with these Terms
  • Organizations are responsible for the accuracy and legality of data entered into the platform
  • Organizations must comply with all applicable laws and regulations regarding data protection

4. Acceptable Use Policy

You agree to use Mivoo only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any applicable laws, regulations, or third-party rights
  • Upload, transmit, or store malicious code, viruses, or harmful software
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers connected to the Service
  • Use automated systems (bots, scrapers) to access the Service without permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Remove or alter any copyright, trademark, or proprietary notices
  • Use the Service to transmit spam, unsolicited messages, or promotional materials
  • Impersonate any person or entity or misrepresent your affiliation
  • Collect or harvest information about other users without consent
  • Upload content that is defamatory, abusive, harassing, or violates privacy rights

Violation of the Acceptable Use Policy may result in immediate termination of your account and access to the Service, and may subject you to legal liability.

You retain all ownership rights to the data and content you upload to Mivoo ("Your Data"). By using the Service, you grant us a limited, non-exclusive license to:

  • Store, process, and transmit Your Data as necessary to provide the Service
  • Create backups and maintain data integrity
  • Comply with legal obligations and enforce these Terms

5.2 Data Accuracy and Compliance

  • You are solely responsible for the accuracy, legality, and completeness of Your Data
  • You must ensure Your Data complies with all applicable laws and regulations
  • You must obtain necessary consents before uploading personal data of third parties
  • You must comply with data protection laws, including GDPR, when applicable

5.3 Data Backup

While we maintain regular backups, you are responsible for maintaining your own backups of critical data. We are not liable for any loss of data due to system failures, user error, or other causes.

6. Intellectual Property Rights

The Service, including its original content, features, functionality, design, logos, and trademarks, is owned by Mivoo and is protected by copyright, trademark, and other intellectual property laws.

These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes, subject to these Terms.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

7. Payment Terms

If you subscribe to a paid plan, the following terms apply:

  • Billing: Fees are billed in advance on a monthly or annual basis as specified in your plan
  • Payment: You must provide valid payment information and authorize us to charge your payment method
  • Price Changes: We reserve the right to modify pricing with 30 days' notice
  • Refunds: Refund policies are specified in your service agreement
  • Non-Payment: Failure to pay may result in suspension or termination of your account
  • Taxes: You are responsible for any applicable taxes, duties, or fees

8. Service Availability and Support

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:

  • Scheduled maintenance and updates
  • Unforeseen technical issues
  • Force majeure events
  • Third-party service disruptions

We will make reasonable efforts to notify you of planned maintenance and to restore service promptly in the event of unplanned outages.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

  • Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Mivoo and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your Data or content uploaded to the Service
  • Your failure to comply with applicable laws or regulations

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting us at info@mivoo.app. Upon termination, your access to the Service will cease, and we will delete Your Data in accordance with our data retention policies.

11.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

  • You violate these Terms or our Acceptable Use Policy
  • You fail to pay fees when due
  • You engage in fraudulent or illegal activity
  • We are required to do so by law or court order
  • We discontinue the Service

11.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete Your Data after a reasonable retention period, subject to legal requirements. Provisions of these Terms that by their nature should survive termination will remain in effect.

These Terms are governed by the laws of the United Kingdom. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

  • Updating the "Last updated" date at the top of this page
  • Sending an email notification to your registered email address
  • Displaying a notice within the Service

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mivoo regarding the Service and supersede all prior agreements and understandings.
